Welcome to Darkspire Table Top ("we", "us", or "our"). These Terms of Use ("Terms") govern your access to and use of our website, applications, tools, and services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, you must not use the Service.
1. Who We Are
Darkspire Table Top is operated by [Your Legal Entity Name] (the "Company"), acting as the service provider and, for users in the UK and European Economic Area (EEA), as the controller of your personal data (see our Privacy Policy for more details).
2. Eligibility
- You must be at least 13 years old, or the minimum age required in your country, to use the Service.
- If you use the Service on behalf of an organisation, you confirm that you are authorised to accept these Terms on its behalf. In that case, "you" includes that organisation.
3. Accounts and Security
- You must provide accurate, current information when creating your account and keep it up to date.
- You are responsible for keeping your login credentials confidential and for all activity under your account.
- You must notify us promptly at [contact email] if you believe your account has been compromised.
- We may suspend or terminate your account at any time where we reasonably believe you have breached these Terms or misused the Service.
4. Acceptable Use
You agree that you will not use the Service to:
- Break any applicable law or regulation, including intellectual property and data protection laws.
- Harass, threaten, defame, or abuse others, or engage in hate speech or discriminatory behaviour.
- Share unlawful content, including content that is obscene, exploitative, incites violence, promotes self-harm, or depicts sexual content involving minors or young-looking characters.
- Upload malware, attempt to gain unauthorised access to accounts or systems, or disrupt the Service.
- Reverse engineer, decompile, or attempt to extract source code from the Service, except where permitted by law.
- Impersonate any person or organisation, or misrepresent your affiliation with them.
We may remove content or take action on your account, including suspension or termination, where we reasonably believe you have violated these Terms or our Community & Content Guidelines.
5. User Content and Licensing
"User Content" means any content you create, upload, or share through the Service, including campaigns, maps, characters, notes, chat messages, and other materials.
- You keep ownership of your User Content.
- You grant us a worldwide, non-exclusive, royalty-free, transferable and sublicensable licence to host, store, reproduce, modify (for technical purposes such as formatting or compression), display and distribute your User Content as needed to operate, maintain, improve and promote the Service.
- You are responsible for ensuring that your User Content does not infringe any third party rights and complies with these Terms.
- If you provide feedback or suggestions, you agree that we may use them without obligation to you, including for commercial purposes, and you waive any claims based on such use.
6. Our Intellectual Property
The Service (excluding User Content) including its software, design, artwork, branding, and trademarks is owned by us or our licensors and is protected by intellectual property laws in the UK, EEA, and worldwide.
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal or internal table-top gaming use, subject to these Terms. You must not copy, modify, distribute, sell, or create derivative works from the Service except as expressly permitted by us or by law.
7. Subscriptions, Fees, and Cancellations
Certain features of the Service may require payment of fees or a subscription. Pricing and inclusions will be shown at the point of purchase and may change from time to time.
- By starting a paid subscription, you authorise us and our payment processors to charge your selected payment method on a recurring basis.
- You can cancel your subscription at any time via your account settings; cancellation will take effect at the end of the current billing period.
- Unless otherwise stated or required by law, all fees are non-refundable. Your statutory rights as a consumer in the UK/EEA are not affected by this clause.
8. Third-Party Services
The Service may integrate with or link to third-party services (for example, authentication providers, analytics, or payment processors). These third-party services are governed by their own terms and privacy policies. We are not responsible for, and do not endorse, third-party services.
9. Disclaimer of Warranties
We aim to provide a reliable experience, but the Service is provided on an "as is" and "as available" basis. To the fullest extent permitted under applicable law, we exclude all implied warranties, including those of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free, or that content or data will always be stored without loss or corruption. Nothing in these Terms excludes or limits any warranty or liability that cannot be excluded or limited under UK or EU law.
10. Limitation of Liability
Nothing in these Terms limits or excludes our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability which cannot be limited or excluded under applicable law.
Subject to the above, and to the maximum extent permitted by law:
- We are not liable for any indirect, consequential, or special loss, or for loss of profit, revenue, data, goodwill, or business opportunity arising out of or in connection with your use of the Service.
- Our total aggregate liability to you for any and all claims arising out of or related to the Service or these Terms will not exceed the greater of (a) the amount you have paid to us in the three (3) months immediately preceding the event giving rise to the claim, or (b) GBP 100.
11. Indemnity
You agree to indemnify and hold harmless Darkspire Table Top, its owners, employees, and affiliates from any claims, losses, damages, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, or your User Content, to the extent permitted by applicable law.
12. Changes to the Service and These Terms
We may update the Service and these Terms from time to time, for example to improve features, reflect changes in the law, or for business reasons. Where we make material changes, we will take reasonable steps to notify you, such as by email, in-product notice, or updating the "Last updated" date above.
If you continue to use the Service after changes to these Terms become effective, you will be deemed to have accepted the updated Terms.
13. Governing Law and Disputes
These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of England and Wales. If you are a consumer resident in the UK or EEA, you may benefit from mandatory consumer protection provisions of your country of residence, and nothing in these Terms affects those rights.
The courts of England and Wales will have non-exclusive jurisdiction over any disputes arising from or relating to these Terms or the Service. If you are a consumer resident in the EEA, you may also bring proceedings in your country of residence.
